Mitigate Procurement AI Agent

Welcome to the Mitigate Procurement AI Agent platform (the "Platform"). The following Terms of Service (the "TOS") govern the use of the Platform and its services. By accessing or using the Platform, you agree to be bound by these TOS and our Privacy Policy. You are not permitted to use the Platform if you do not agree to these TOS or our Privacy Policy.
1. Definitions
Platform: The Mitigate Procurement AI Agent, accessible at procurements.mitigate.dev, where users can upload procurement documents for automated AI-powered compliance evaluation.
User: The registered individual representative of a legal entity that accesses and uses the Platform.
Services: All services provided through the Platform, including AI-powered procurement document analysis, compliance checking, cross-referencing, report generation, and Excel export.
AI Agent: The integrated AI functionality that performs automated evaluation of procurement documents, including preparation, specialist analysis, cross-referencing, and verification stages.
Organization: The legal entity that registers an account on the Platform, purchases Credits, and manages User access.
Administrator: A User authorized by the Organization to manage the account, add and remove Users, and purchase Credits.
2. Account Creation and Maintenance
By creating an account and accepting these TOS, you confirm that you have the legal authority to bind the company you represent to these Terms. If you do not have such authority, you will be held personally liable for any damages caused by unauthorized commitments. The account creator is responsible for managing user access within their organization and for deactivating any redundant or inactive users.
3. User Conduct
You are solely responsible for the data you upload to the Platform and the reports generated from it. You agree to use the Platform in compliance with all applicable laws and regulations. The Platform accepts PDF, Word, EDOC, Excel, PowerPoint, and other common document formats.
4. Restricted Jurisdictions and Persons
Use of the Platform is prohibited for:
Sanctions Lists: Use of the Platform is prohibited in connection with individuals or entities included on EU, US, UK, or UN sanctions lists, or located in jurisdictions subject to international restrictions. Current EU sanctions list: https://www.mfa.gov.lv/lv/eiropas-savienibas-sankcijas.
Use for the Benefit of Russia or Belarus: Use of the Platform for the benefit of or in the interests of the Russian Federation or the Republic of Belarus is prohibited, including in cases where it could directly or indirectly facilitate the circumvention of international sanctions.
Mitigate reserves the right to suspend or delete user accounts without notice or refund if there is reasonable suspicion of violations related to sanctions or export control.
5. Data Protection and Ownership
Data Encryption: All data is encrypted during transmission and while stored.
Data Access: We do not access your uploaded documents unless you explicitly provide access for support purposes.
Data Retention: Your data is deleted upon request or automatically if the User has not used the account for 12 (twelve) months.
Data Ownership: Users retain ownership of documents they upload and reports generated through the Platform. Mitigate retains ownership of all content, technology, and intellectual property associated with the Platform.

6. AI Technology and Services
The Platform integrates AI technology to evaluate procurement documents through automated multi-stage analysis (preparation, specialist evaluation, analysis, and verification).
AI Technology Disclaimers:
AI-generated findings and recommendations are advisory and may not always be accurate or complete.
Users are responsible for verifying AI outputs before making any procurement decisions.
The AI functionality assists human decision-making and does not replace professional judgment.
Every finding is backed by evidence quotes from the uploaded documents.
Third-Party Providers: The AI technology integrated into the Platform may use third-party AI services for document processing. Mitigate manages the relationship with third-party AI providers and ensures compliance with relevant legal and privacy requirements. The Platform does not assume responsibility for errors or failures in third-party AI technology. Users are encouraged to evaluate whether the AI outputs meet their needs before relying on them for decision-making.
7. Limitation of Liability
Our liability for damages arising from the use of our services is limited. You are responsible for safeguarding your authentication data and ensuring the accuracy of the documents you upload to the Platform.
8. Termination
User-Initiated Termination: You may terminate your account by sending a request to legal@mitigate.dev. Your data will be deleted upon request.
Automatic Deletion: If the User has not used the account for 12 (twelve) months, data will be automatically deleted.
Data Retrieval: Before termination, you can export your analysis reports via the Platform's Excel export functionality.
9. Credits and Payments
Access to the Platform is provided on a pay-per-use basis through credits. Credit pricing depends on procurement complexity and bid amounts — see the current pricing on the Platform.
Credits can be purchased via Stripe (instant activation) or bank transfer (invoice, activation upon receipt of payment).
All prices are in euros, excluding VAT. VAT is applied at the rate determined by the Republic of Latvia.
Credits are valid for 12 months from the date of purchase.
Invoices generated via Stripe are considered valid without a physical signature, in accordance with Article 11 of the Republic of Latvia Accounting Law.
All payments are non-refundable. Unused credits expire 12 months after purchase.
Failure to make timely payments (for invoice purchases) may result in suspension of access.
Credits are linked to the Organization's account. The Administrator may grant access to Users within their Organization. Credits are non-transferable and may not be assigned or sold to other organizations, individuals, or legal entities.
Credits do not constitute electronic money, a means of payment, or a security, and have no monetary value outside the Platform.
10. Amendments and Notifications
We may update these TOS from time to time. For material changes, we will notify users via email or through the Platform at least 30 days prior to the changes taking effect. Your continued use of the Platform after changes constitutes acceptance of the new TOS.
11. Indemnification
Users agree to hold Mitigate harmless from any liabilities, damages, or costs arising from their use of the Platform, particularly if they breach these TOS or applicable laws.
12. Force Majeure
Neither party shall be held liable for delays or failure to fulfill obligations under these TOS due to circumstances beyond their control, such as natural disasters, pandemics, cyberattacks, or other unforeseen events.
13. Dispute Resolution
Any dispute arising from these TOS that cannot be resolved amicably shall be settled in the courts of the Republic of Latvia, in accordance with Latvian law.
14. General Provisions
If any provision of these TOS is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Failure by Mitigate to enforce any right or provision of these TOS shall not constitute a waiver of such right or provision.
These TOS, together with the Privacy Policy, constitute the entire agreement between you and Mitigate regarding the use of the Platform.
